End User Licence Agreement

Please read this before using the software. By installing, launching or using Faderia (the "Software") you accept this Agreement. If you do not accept it, do not install or use the Software.

This English text is the authoritative version. Translations are provided for convenience; in case of any discrepancy, the English text prevails.

1. Licence

The Software is licensed, not sold. Subject to this Agreement you are granted a non-exclusive, non-transferable licence to install and use the Software on the number of computers permitted by your plan, for your own lighting work, whether commercial or not.

You may not: resell, rent or sublicense the Software; remove or alter licence checks, notices or version markers; decompile or reverse engineer it except where that right cannot be excluded by applicable law; or use it to build a competing product from its code.

Backup copies for your own use are permitted.

2. Safety — read this section

The Software commands lighting equipment. It does not know what that equipment is physically connected to, where it points, who is standing under it, or what else shares the same power and data lines. Physical safety is the operator's responsibility, not the Software's.

In particular:

  • Flashing and strobe effects can trigger seizures in people with photosensitive epilepsy, and can cause disorientation or falls. Before using strobe, chase, sparkle or any rapid-intensity effect in front of an audience, you are responsible for assessing the risk, warning the audience where required, and complying with local rules on flashing content.
  • The Software must not be used to control life-safety systems: emergency lighting, evacuation signage, fire or smoke systems, aircraft or vehicle lighting, medical devices, or any installation where failure can cause injury, death, or serious property damage. Emergency and house lighting must remain on independent circuits that the Software cannot switch off.
  • Always keep an independent means of restoring light — a manual dimmer, house lighting control, or a second console — that does not depend on this Software, the computer it runs on, or the network between them.
  • Test the full chain before the audience arrives: fixtures, addressing, data path, and every cue you intend to run. Automatic playback, timecode following and scheduled triggers will execute whatever they were told to execute, at the time they were told to.
  • Moving fixtures, haze machines, pyrotechnics, rigging, power distribution and their interlocks remain governed by the manufacturers' instructions and local regulation. Nothing in the Software replaces them.

3. No warranty

The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Software will be uninterrupted, error-free, compatible with any particular fixture, interface, driver, operating system or network, or that defects will be corrected. Fixture libraries, profiles and channel layouts — including data imported from third-party sources — are provided for convenience and may be incomplete or wrong for your specific device; verify addressing and channel behaviour against the fixture's own manual before a show.

Where applicable law does not allow the exclusion of certain warranties, the excluded warranties are limited to the shortest period and narrowest scope that law permits.

4. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, punitive or exemplary damages, nor for loss of profit, revenue, bookings, contracts, goodwill, data or show files, nor for the cost of substitute equipment or personnel, arising out of or related to the Software or its use or inability to be used — including a show that does not run, light that does not come on, light that comes on when it should not, or equipment that behaves unexpectedly — even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Software is limited to the amount you actually paid for the Software in the twelve months before the event giving rise to the claim, or, if you use a free version, to zero.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by proven negligence, for fraud, or any statutory rights of consumers that apply to you and cannot be waived.

5. Your responsibilities

You are responsible for: the fitness of the Software for your particular production; the equipment, network and computer it runs on; compliance with the venue's rules and with the law where you work, including health and safety, noise, flashing-content and employment rules; keeping backups of your show files; and the actions of anyone you allow to operate the Software.

6. Third-party content and open source

The Software includes third-party components under their own licences, and may include fixture data derived from public libraries. Those licences and notices are shipped with the Software and continue to apply to those components. We make no warranty in respect of third-party data.

7. Licences, updates and availability

Paid features are unlocked by a licence key or account. Activation transmits the licence key, the product version, a non-reversible machine identifier and the name your operating system gives the computer. The computer name travels as plain text and is stored with the licence, so that you can tell your machines apart and free a seat in your account. The machine identifier is a salted SHA-256 hash: on Windows of the identifier the operating system assigns to its own installation, on macOS of the computer's hardware UUID, and where neither can be read, of the computer name, the user name and the path to the home folder. The identifier exists to bind the licence to the permitted number of machines. As with any request to a server, the request also carries your IP address, and our licence server records it with the activation attempt in order to detect keys being shared or resold. We do not collect your show files or the content of your work. What we do with the data we receive, and how long we keep it, is set out in the Privacy Policy on our website.

We may update the Software, change or discontinue features, and change the plans offered. Where you have paid for a defined period, changes will not shorten the access you have already paid for. Online services — activation, updates, the web remote's public components — may be temporarily unavailable; the Software is designed to keep running your show without them, provided your licence has already been activated.

8. Term and termination

This Agreement applies while you use the Software. It ends automatically if you breach it materially and do not remedy the breach after notice. On termination you must stop using the Software and remove it from your computers. Sections 2 to 6 survive termination.

9. Governing law

Where you are a consumer, the mandatory consumer-protection law of your country of residence applies to this Agreement, and nothing here limits your right to bring proceedings there. Otherwise this Agreement is governed by the law of the jurisdiction in which we are established, without regard to conflict-of-law rules; we state it on request at [email protected]. Who "we" are is set out in the Terms of Service on the website.

10. Changes to this Agreement

We may publish a new version of this Agreement. A new version applies to your use of the Software from the moment you accept it in the application, or from the moment you continue to use a version of the Software that was released after the new terms were published. The current version and its date are shown at the top of this page and inside the application.
